What Happens After Incorporating a Singapore Company?
Reviewed 11 October 2026 · 9 minute read
Short answer
After incorporation, confirm the UEN and company records, establish and maintain the required registers, appoint a company secretary within six months, assess auditor requirements within three months, set up banking and CorpPass access, begin proper accounting records, and calendar the company's FYE-based ACRA and IRAS obligations.
Immediately after registration
- Confirm the UEN, business profile and registered particulars
- Keep the constitution and incorporation documents with the company records
- Issue and record the agreed shares and share certificates
- Establish the required company registers and applicable controller/nominee records
- Record the first board decisions and authorised signatories
Appointments and access
- Appoint a company secretary within six months if not appointed at registration
- Assess whether an auditor must be appointed within three months or the company is exempt
- Set up CorpPass roles with appropriate authority
- Open a corporate bank account and keep business transactions separate
- Confirm who may instruct advisers and approve filings
Accounting and tax foundations
Start accounting records from the first transaction. The chosen FYE determines the reporting cycle. IRAS generally requires ECI within three months after FYE unless the company qualifies for a filing waiver, and Form C-S, Form C-S (Lite) or Form C is generally due by 30 November.
- Select accounting software and chart of accounts
- Retain invoices, receipts, contracts and bank records
- Assess GST registration and payroll obligations
- Confirm whether the start-up tax exemption conditions may apply
- Do not wait until the first annual return to organise the accounts
Annual company cycle
These are general reference points. The exact position depends on the company type, FYE, exemptions, filing history and current official requirements.
| Item | Ordinary reference point |
|---|---|
| Private-company AGM | Generally within six months after FYE, subject to applicable exemptions |
| Private-company annual return | Generally within seven months after FYE |
| ECI | Within three months after FYE unless waiver applies |
| Corporate Income Tax Return | 30 November each year |
Build one compliance calendar
ACRA, IRAS, licence, employment and commercial-renewal dates should be visible in one calendar but clearly labelled by obligation type. A secretary renewal date is not the same as an annual-return deadline, and completing one does not prove completion of the other.
